1. Introduction
These Terms of Service and End User Licence Agreement govern access to and use of Zerberus.ai, its web application, CLI tools and related services (together, the Services). By clicking Accept, creating an account, or using any part of the Services, you confirm that you have authority to bind your organisation and that your organisation agrees to this Agreement.
Updates to this Agreement. Zerberus may update these Terms or issue addendums. We will notify you by email or an in-app notice. You will have 15 days to accept or reject. If you do not accept within 15 days, Zerberus may suspend or terminate access after reasonable notice.
2. Definitions

Authorised Users: employees, agents and contractors that Customer authorises to use the Services.

Customer or you: the company or legal entity accepting these Terms.

Customer Data: data, content and artefacts you submit to or through the Services.

Documentation: user guides, policies and technical documentation supplied by Zerberus.

Order Form: a document executed by the parties describing subscription scope, term and fees.

Platform: the Zerberus.ai hosted service, including the CLI and integrations.

3. Scope of Services
Zerberus provides a compliance and risk platform that includes:

Trace-AI for software supply chain and dependency risk analysis,

Policy Module for policy mapping and automation,
-
Remed-AI (Beta) for guided remediation.
APIs and integrations may be added in future. Beta or experimental features may change or end.
4. Service Levels and Support
Service Levels. Zerberus will provide the Services in accordance with the SLA available at https://zerberus.ai/sla.
Support. Zerberus will provide support in accordance with the Support Policy at https://zerberus.ai/support-policy, which describes channels, hours and response targets.
5. Accounts and Authorised Users
Customer is responsible for: creating and maintaining its account, managing Authorised Users, and ensuring compliance with this Agreement. Account credentials must not be shared. Customer must promptly notify Zerberus of unauthorised access or security incidents related to its account.
6. Free Tier, Trials and Beta Features
Free Tier. The Free Tier allows up to 5 repositories in Trace-AI and 10 policies in the Policy Module. Zerberus may restrict uptime, support and retention for Free Tier accounts. Free-tier data may be deleted after 30 days of inactivity.
Trials. Trial access is provided as-is and may be withdrawn at any time. Customer Data submitted during a trial may be deleted at the end of the trial unless you upgrade or export the data beforehand.
Beta. Features labelled beta, preview or early access, including Remed-AI and the AI-driven Policy Module, are provided for evaluation, are not part of the Services for warranty purposes, and may change or cease. To the extent permitted by law, Zerberus’s liability for Trials and Beta is capped at £100.
7. Licence and Acceptable Use
Licence. Subject to these Terms, Zerberus grants Customer a limited, non-exclusive, non-transferable, revocable licence for internal business use of the Services and CLI.
Prohibited Uses. Customer must not:
a) sublicense, resell, time-share or operate a service bureau;
b) benchmark, scrape, use robots or spiders, or extract data in bulk;
c) copy, modify, create derivative works, reverse engineer or seek to access source code, except as permitted by law;
d) remove proprietary notices;
e) introduce malware or attempt to bypass security or usage limits;
f) access the Services to build a competing product or allow access to a competitor of Zerberus;
g) use the Services in breach of law or third-party rights.
Zerberus may investigate suspected breaches and suspend access where reasonably necessary to protect the Platform or other customers. An Acceptable Use Policy (AUP) will apply when published at https://zerberus.ai/aup.
8. Data, Privacy and Security
Data scope. By default, Zerberus processes aggregated metadata to provide the Services. Zerberus does not process PII or sensitive security configuration data unless Remed-AI is explicitly enabled by arrangement with our account management team. Remed-AI setup can be customised per customer.
Restricted data. Do not upload PII, private keys or secrets, security configuration files, ACLs, or policy JSONs or their equivalents.
Ownership. Customer retains ownership of Customer Data. Customer grants Zerberus a limited, worldwide, royalty-free licence to host, process and analyse Customer Data solely to provide and improve the Services.
No model training. Zerberus will not use Customer Data to train its models.
Privacy Policy. Processing is described in our Privacy Policy at https://www.zerberus.ai/privacy-policy.
Security Statement. Zerberus will maintain appropriate technical and organisational measures as described in the Security Statement at https://zerberus.ai/security.
DPA. Where required under UK GDPR, a Data Processing Addendum will apply, available at https://zerberus.ai/dpa.
9. Fees, Taxes and Payment
Fees are payable in GBP, exclusive of VAT and applicable taxes. Customer is responsible for taxes other than Zerberus’s income taxes. Unless otherwise stated in an Order Form, subscriptions are billed monthly or annually through Stripe and are non-refundable except as required by law or as expressly set out in these Terms.
Auto-renewal. The initial subscription term is 12 months and auto-renews for successive 12-month periods unless either party gives 30 days’ prior notice before the end of the current term.
Late payment. Overdue amounts outstanding 5 days after the due date may result in suspension until paid.
Resellers. If you purchase via an authorised reseller or MSP, billing is handled by the reseller and Zerberus is not responsible for the reseller’s obligations or third-party services.
10. Term, Renewal and Termination
This Agreement remains in effect for the subscription term. Either party may terminate for material breach on 10 days’ written notice if the breach remains uncured. Zerberus may suspend or terminate for non-payment, for AUP or Prohibited Use violations, if required by law, or where Customer’s use poses potential harm to the Platform or other customers. Zerberus will issue warnings where reasonable, but may act immediately in extreme cases.
Post-termination. Access ends on termination. Customer may export Customer Data for 30 days after termination, after which Zerberus will delete active copies, subject to legal retention and backup cycles.
11. Intellectual Property and Feedback
All intellectual property in the Services, software, models, documentation and branding is owned by Zerberus. Customer must not use Zerberus marks without prior written consent.
Feedback. Suggestions or feedback are non-confidential and may be used by Zerberus without restriction. Customer assigns any IP rights in feedback to Zerberus to the fullest extent permitted by law.
12. AI Features and Outputs
Admins can enable or disable AI-assisted features for the workspace. Zerberus will not use Customer Data to train AI models. AI Outputs may be inaccurate or variable and are provided for guidance only. Customer is responsible for validating outputs and must not present AI Outputs as human generated.
13. Confidentiality
Each party will keep the other’s Confidential Information secret and use it only to perform this Agreement. Confidential Information excludes information that is public, already known without restriction, independently developed without reference, or disclosed under legal compulsion with prompt notice where lawful. The Services and Customer Data are Confidential Information.
14. Warranties and Remedies
Performance warranty. During an active subscription, the Services will materially conform to the Documentation, excluding non-conformities caused by misuse or unauthorised modifications. Customer’s exclusive remedy is repair or replacement of the affected functionality. If such remedy is not commercially reasonable, Zerberus will provide a pro-rated refund of prepaid fees for the affected period.
Disclaimer. Except as stated above, the Services are provided as is and as available. Zerberus does not warrant uninterrupted or error-free operation.
Trials and Beta. Trials and Beta features are provided as-is. Liability for Trials and Beta is capped at £100.
15. Indemnities
Vendor IP indemnity. Zerberus will defend Customer against third-party claims in the UK or EU that the Services, as provided by Zerberus, infringe patents, copyrights or misappropriate trade secrets, and will pay damages and settlements finally awarded, provided Customer promptly notifies Zerberus, grants sole control of defence and settlement, and cooperates. Zerberus may procure rights, modify or replace the Services. If not feasible, Zerberus may terminate the affected Service and issue a pro-rated refund.
This indemnity does not apply to claims arising from Customer Data, specifications provided by Customer, combinations not supplied by Zerberus, use outside scope or in breach of this Agreement.
Customer indemnity. Customer will indemnify Zerberus against claims arising from Customer Data, Customer’s breach of law or this Agreement, or Customer’s use of third-party products with the Services.
16. Liability Framework
Nothing limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited by law.
Subject to the above:
a) neither party is liable for indirect or consequential loss including loss of profits, revenue, data or goodwill; and
b) each party’s aggregate liability arising under or in connection with this Agreement is limited to the fees paid or payable in the 12 months prior to the event giving rise to the claim, except that liability for (i) IP indemnity and (ii) breach of confidentiality is capped at ten times that amount.
17. Publicity
Customer grants Zerberus permission to reference its name and logo in website pages, case studies and social media. Zerberus will confirm with the designated contact before publication and will not use Customer’s name or logo if Customer objects. To opt out, email legal@zerberus.ai.
18. Changes to these Terms
Zerberus may amend these Terms. For material changes, Zerberus will give 30 days’ prior notice. You will have 15 days to accept or reject via email or in-app notice. Continued use after the notice period constitutes acceptance. If you do not accept, Zerberus may suspend or terminate access.
Limitation period. Any claim must be brought within 12 months of the cause of action.
19. Dispute Resolution and Governing Law
The parties will first seek to resolve disputes in good faith, including at least one meeting of senior representatives and, if mutually agreed, mediation under the CEDR Model Mediation Procedure.
This Agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
20. Notices
Zerberus may provide notices by email to the account owner’s address and legal@zerberus.ai, and by post to registered office addresses. Email notices are deemed delivered when sent. Postal notices are deemed delivered two business days after posting by first-class mail or courier.
Customer notices to Zerberus must be sent to legal@zerberus.ai and to the registered office above.
21. Export Controls and Sanctions
Customer represents it is not subject to UK, EU or US sanctions and will not use or export the Services contrary to applicable export control or sanctions laws.
22. Anti-bribery
Each party will comply with applicable anti-bribery and corruption laws, including the UK Bribery Act 2010, and will promptly notify the other of suspected violations related to this Agreement.
23. Third-party Products and Services
Integrations and third-party products are subject to their own terms. Zerberus does not warrant third-party products or third-party professional services, including audits or penetration tests, even if referenced on an Order Form. Any such engagements are between Customer and the third party.
24. Force Majeure
Except for payment obligations, neither party is liable for failure or delay caused by events beyond reasonable control, including utility or internet failure, cyber attacks, acts of God, war, terrorism, riots, strikes, governmental action or natural disasters.
25. Assignment, Relationship, Waiver, Severability, Entire Agreement
Customer may not assign this Agreement without Zerberus’s prior written consent, which will not be unreasonably withheld. Zerberus may assign to an affiliate, or in connection with a reorganisation, merger or sale of assets. The parties are independent contractors. Failure to enforce any term is not a waiver. If a term is unenforceable, the remainder remains in force. This Agreement, together with referenced documents, is the entire agreement and supersedes prior discussions.
26. Survival
The following survive termination: Fees, Taxes and Payment; Confidentiality; Intellectual Property and Feedback; AI Features and Outputs; Indemnities; Liability Framework; Publicity; Changes to these Terms; Dispute Resolution and Governing Law; Notices; Export Controls and Sanctions; Anti-bribery; Third-party Products and Services; Force Majeure; Assignment and related boilerplate; Survival.
